1. These terms

1.1 What these terms cover. These are the terms and conditions on which we supply our Covid 19 testing kits (Covid Tests) to you.

1.2 Why you should read them. Please read these terms carefully before you submit your order to us. These terms tell you:
1.2.1 who we are;
1.2.2 how we will provide the Covid Tests to you and how they should be returned to us;
1.2.3 how we provide you with your results;
1.2.4 how you and we may change or end the contract;
1.2.5 what to do if there is a problem;
1.2.6 other important information.

2. Information about us and how to contact us

2.1 Who we are. We are Minton, Treharne & Davies Limited a company registered in England and Wales trading as Minton, Treharne and Davies. Our company registration number is 00435262 and our registered office is at Longwood Drive, Forest Farm Industrial Estate, Cardiff, Wales, CF14 7HY.

2.2 How to contact us. You can contact us by telephoning our customer service team at 02920 540000 or by writing to us at c19support@minton.group

2.3 How we may contact you. If we have to contact you, we will do so by telephone, text messaging or by writing to you at the email address or postal address you provided to us in your order.

2.4 “Writing” includes emails. When we use the words “writing” or “written” in these terms, this includes emails.

3. Our contract with you

3.1 How we will accept your order. Our acceptance of your order will take place when we notify you to accept it, at which point a contract will come into existence between you and us.

3.2 If we cannot accept your order. If we are unable to accept your order, we will inform you of this and will not charge you for your order. Examples of such rejection might be because the Covid Test is out of stock or because of unexpected limits on our resources which we could not reasonably plan for, because we have identified an error in the price or description of the Covid Tests or because we are unable to meet a delivery deadline you have specified.

3.3 We only sell to the UK. Our website is solely for the promotion of our Covid Tests in the UK. Unfortunately, we do not accept orders from or deliver to addresses outside the UK.

4. Our Covid Tests

4.1 Covid Tests may vary slightly from their pictures. The images of the Covid Tests on our website are for illustrative purposes only. Although we have made every effort to display the images and colours accurately your Covid Test may vary slightly from those images. We have made every effort to be as accurate as possible.

4.2 Covid Test packaging may vary. The packaging of the Covid Tests may vary from that shown in images on our website.

4.3 Our Covid Test is a known as a PCR Test. Our Covid Tests will only identify if you have Covid 19 at the time of providing your sample. It does not identify if you have previously had Covid 19.

4.4 The accuracy of our Covid Tests. Please note that it is not possible to guarantee that our Covid Test is 100% accurate. There may be several reasons why an inaccurate result is obtained i.e. inadequate sample, damaged or faulty swabs, delays in returning samples. Results will be reported as detected or not detected in line with current internal testing criteria.

5. What is included in our Covid Test

5.1 What our Covid Tests contain. Our Covid Tests will contain a combined nasal and throat swab, a vial of deactivating liquid and return packaging as well as instructions on how to use our Covid Tests.

5.2 If you have questions. If your delivery does not contain the above items, or if you have questions about how to use the Covid Tests, please contact our customer services team on 02920 540000.

6. How do you use the Covid Tests and take a sample

Our Covid Tests contain easy to explain instructions on how to use the swabs and provide a sample for analysis, however, if you have any further questions or queries, please contact our customer services department on 02920 540000.

7. How to return your sample to us

7.1 How to package your sample. Once you have successfully taken your sample, please carefully follow the instructions included and place the sample in the return packaging provided with the Covid Tests.

7.2 How to return your sample to us. Once your sample has been placed in the return packaging, it may be posted back to us by using the Royal Mail property post box service. You can identify priority post boxes by accessing the Royal Mail app or website and typing in your postcode.

8. Your Results

8.1 What do the results tell me. The results will only tell you if you have Covid 19 at the time of providing the sample. It does not tell you if you have previously contracted the virus.

8.2 When will I receive my results Our website identifies our turnaround time options which are priced accordingly. Your turnaround time will be identified in your order confirmation and will depend on the option you requested.

8.3 How do you provide the results. Results will be emailed to the nominated recipient at the email address provided. If you do not receive your results after 7 days from when you posted the sample, please contact us on 02920 540000.

8.4 What should I do once I receive my results. This will depend on whether your result is positive or negative. Once you have received your results, please consult the latest medical advice provided by the NHS as well government guidelines.

9. Your rights to make changes

If you wish to make a change to your order please contact us. We will let you know if the change is possible. If it is possible we will let you know about any changes to the price of the Covid Tests, the timing of supply or anything else which would be necessary as a result of your requested change and ask you to confirm whether you wish to go ahead with the change. If we cannot make the change or the consequences of making the change are unacceptable to you, you may want to end the contract (see clause 12- Your rights to end the contract).

10. Our rights to make changes

We may change the Covid Tests to reflect changes in relevant laws and regulatory requirements and/or to implement minor technical adjustments and improvements, for example to address a security threat. These changes will not affect your use of the Covid Tests.

11. Providing the Covid Tests

11.1 Delivery costs. The costs of delivery will be as displayed to you on our website prior to placing an order (included in cost for most products).

11.2 When will we dispatch the Covid Tests. During the order process we will let you know when we will provide the Covid Tests to you but aim to dispatch an order within 48 hours from acceptance (excluding weekends). Our Covid Tests are delivered by Royal Mail and therefore, once they have been dispatched, any delays in delivery, are outside of our control.

11.3 We are not responsible for delays outside our control. If our supply of the Covid Tests is delayed by an event outside our control then we will contact you once we become aware to let you know and we will take steps to minimise the effect of the delay. Provided we do this we will not be liable for delays caused by the event, but if there is a risk of substantial delay you may contact us to end the contract and receive a refund for any Covid Test you have paid for but not received. However, should you receive a refund, and then receive delivery of your order, you must immediately return the Covid Test to us, unopened and unaltered. If a Covid Test is returned and it appears to have been opened or the package is unsealed, then we will invoice you for the Covid Test.

11.4 When you become responsible for the Covid Test. A Covid Test will be your responsibility from the time we deliver the order to the address you gave us.

11.5 When you own the Covid Test. You own a Covid Test once we have received payment in full and it is delivered to you.

11.6 What will happen if you do not give required information to us. We may need certain information from you so that we can supply the Covid Tests to you. If so, this will have been stated on our website or provided prior to you placing an order. If you do not give us this information within a reasonable time of us asking for it, or if you give us incomplete or incorrect information, we may either end the contract (and clause 14.2 will apply) or make an additional charge of a reasonable sum to compensate us for any extra work that is required as a result. We will not be responsible for supplying the Covid Tests late or not supplying at all if this is caused by you not giving us the information we need within a reasonable time of us asking for it.

11.7 Reasons we may suspend the supply of Covid Tests to you. We may have to suspend the supply of an order to:
11.7.1 deal with technical problems or make minor technical changes;
11.7.2 update the Covid Tests to reflect changes in relevant laws and regulatory requirements;
11.7.3 make changes to the Covid Tests as requested by you or notified by us to you (see clause 10).

11.8 Your rights if we suspend the supply of Covid Tests. We will contact you in advance to tell you we will be suspending supply of the Covid Tests, unless the problem is urgent or an emergency. You may contact us to end the contract for the supply of a Covid Test if we suspend it, or tell you we are going to suspend it and we will refund any sums you have paid in advance for the Covid Test that has not been delivered.

11.9 We may also suspend supply of the Covid Tests if you do not pay. If you do not pay us for your order when you are supposed to (see clause 16.4), we may suspend the supply of the Covid Tests until you have paid us. We will contact you to tell you we are suspending the supply of the Covid Tests. If you still do not pay us after this reminder, then we will end the contract in accordance with clause 14.

12. Your rights to end the contract

12.1 You can always end your contract with us. Your rights when you end the contract will depend on whether you have used / opened the Covid Test, whether there is anything wrong with it, how we are performing and when you decide to end the contract:
12.1.1 If what you have bought is faulty or misdescribed you may have a legal right to end the contract (or to get the Covid Test replaced or to get some or all of your money back), see clause 15;
12.1.2 If you want to end the contract because of something we have done or have told you we are going to do, see clause 12.2;
12.1.3 If you have just changed your mind about the Covid Test, see clause 12.3. You may be able to get a refund if you are within the cooling-off period and the Covid Test is still sealed and unopened, but this may be subject to deductions and you will have to pay the costs of return of any goods;
12.1.4 In all other cases (if we are not at fault and there is no right to change your mind), see clause 12.5.

12.2 Ending the contract because of something we have done or are going to do. If you are ending a contract for a reason set out at 12.2.1 to 12.2.5 below the contract will end immediately and we will refund you in full for any Covid Tests ordered but not provided. The reasons are:
12.2.1 we have told you about an upcoming change to the Covid Tests or these terms which you do not agree to;
12.2.2 we have told you about an error in the price or description of the Covid Tests you have ordered and you do not wish to proceed;
12.2.3 there is a risk that supply of the Covid Tests may be significantly delayed because of events outside our control;
12.2.4 we have suspended the supply of the Covid Tests for technical reasons, or notify you we are going to suspend them for technical reasons; or
12.2.5 you have a legal right to end the contract because of something we have done wrong.

12.3 Exercising your right to change your mind (Consumer Contracts Regulations 2013). For most goods bought online you have a legal right to change your mind within 14 days and receive a refund. You may change your mind and return the Covid Tests to us within 14 days, should the Covid Tests remain unopened and sealed. You are responsible for the cost of returning the Covid Tests to us.

12.4 You don’t have the right to change your mind if the Covid Tests are unsealed. The Covid Tests are provided to you sealed for health protection and hygiene purposes. You therefore do not have a right to change you mind, once the Covid Tests become opened or unsealed after you receive them.

12.5 Ending the contract where we are not at fault and there is no right to change your mind. Even if we are not at fault and you do not have a right to change your mind (see clause 12.1), you can still end the contract before it is completed, but you may have to pay us compensation. The contract is completed when the Covid Test is delivered to you. If you want to end the contract before it is completed where we are not at fault and you have not changed your mind, just contact us to let us know. The contract will end immediately and we will refund any sums paid by you for the Covid Tests not provided but we may deduct from that refund (or, if you have not made an advance payment, charge you) reasonable compensation for the net costs we will incur as a result of your ending the contract. Please note that this clause is subject to the Covid Test being retained by us or returned to us, unopened and still sealed.

13. How to end the contract with us (including if you have changed your mind)

13.1 Tell us you want to end the contract. To end the contract with us, please let us know by doing one of the following:
13.1.1 Phone or email. Call customer services on 02920 540000 or email us at c19support@minton.group Please provide your name, home address, details of the order and, where available, your phone number and email address.

13.2 Returning a Covid Tests after ending the contract. If you end the contract for any reason after Covid Tests have been dispatched to you or you have received them, you must return them to us unopened and sealed. You must post the Covid Tests back to us at Longwood Drive, Forest Farm Industrial Estate, Cardiff, Wales, CF14 7HY. If you are exercising your right to change your mind you must send off the goods within 14 days of telling us you wish to end the contract.

13.3 When we will pay the costs of return. We will pay the costs of return:
13.3.1 if the Covid Tests are faulty or misdescribed;
13.3.2 if you are ending the contract because we have told you of an upcoming change to the Covid Test or these terms, an error in pricing or description, a delay in delivery due to events outside our control or because you have a legal right to do so as a result of something we have done wrong.
In all other circumstances (including where you are exercising your right to change your mind) you must pay the costs of return.

13.4 How we will refund you. We will refund you the price you paid for the Covid Tests including delivery costs, if applicable, by the method you used for payment. However, we may make deductions from the price, as described below.

13.5 Deductions from refunds if you are exercising your right to change your mind. If you are exercising your right to change your mind:
13.5.1 we may reduce your refund of the price (excluding delivery costs) to reflect any reduction in the value of the Covid Test, if this has been caused by your handling them. If we refund you the price paid before we are able to inspect the goods and later discover you have handled them in an unacceptable way, you must pay us an appropriate amount;
13.5.2 the maximum refund for delivery costs will be the costs of delivery by the least expensive delivery method we offer. For example, if we offer delivery of a Covid Test within 3-5 days at one cost but you choose to have the Covid Test delivered within 24 hours at a higher cost, then we will only refund what you would have paid for the cheaper delivery option.

13.6 When your refund will be made. We will make any refunds due to you as soon as possible but no later than 14 days from the date we receive the returned Covid Tests.

14. Our rights to end the contract

14.1 We may end the contract if you break it. We may end the contract for the supply of the Covid Test at any time if:
14.1.1 you do not make any payment to us when it is due and you still do not make payment within 24 hours of us reminding you that payment is due;
14.1.2 you do not, within a reasonable time of us asking for it, provide us with information that is necessary for us to provide the Covid Test or the results from an analysis of your sample;
14.1.3 you do not, within a reasonable time, allow us to deliver the Covid Test to you.

14.2 You must compensate us if you break the contract. If we end the contract in the situations set out in clause 14.1 we will refund any money you have paid in advance for Covid Tests we have not provided but we may deduct or charge you reasonable compensation for the net costs we will incur as a result of your breaking the contract.

14.3 We may withdraw the provision of Covid Tests. We may let you know that we are going to stop providing the Covid Test. We will let you know as soon as reasonably possible and will refund any sums you have paid in advance for Covid Tests which will not be provided.

15. If there is a problem with the Covid Test

15.1 How to tell us about problems. If you have any questions or complaints about the Covid Test, please contact us. You can telephone our customer service team at 02920 540000 or write to us at c19support@minton.group

15.2 Our legal duty. We are under a legal duty to supply Covid Tests that are in conformity with this contract.

15.3 Your obligation to return rejected Covid Tests. If you wish to exercise your legal rights to reject the Covid Tests you must post them back to us. We will pay the costs of postage or collection. Please call customer services on 02920 540000 or email us at c19support@minton.group to discuss your return of a rejected Covid Test.

16. Price and payment

16.1 Where to find the price for our Covid Tests. The price (which includes VAT) will be the price indicated on the order pages when you placed your order. We take all reasonable care to ensure that the prices advised to you are correct. However please see clause 16.3 for what happens if we discover an error in the price of the Covid Test you order.

16.2 We will pass on changes in the rate of VAT. If the rate of VAT changes between your order date and the date we supply the Covid Test, we will adjust the rate of VAT that you pay, unless you have already paid for the Covid Test in full before the change in the rate of VAT takes effect.

16.3 What happens if we got the price wrong. It is always possible that, despite our best efforts, some of the Covid Tests we sell or delivery costs may be incorrectly priced. We will normally check prices before accepting your order so that, where the correct price at your order date is less than our stated price at your order date, we will charge the lower amount. If the correct price at your order date is higher than the price stated to you, we will contact you for your instructions before we accept your order. If we accept and process your order where a pricing error is obvious and unmistakeable and could reasonably have been recognised by you as a mispricing, we may end the contract, refund you any sums you have paid and require the return of any goods provided to you.

16.4 When you must pay and how you must pay. We accept payment with all major credit cards. You must pay for all Covid Tests before we dispatch them to you.

16.5 What to do if you think an invoice is wrong. If you think an invoice is wrong please contact us promptly to let us know. You will not have to pay any interest until the dispute is resolved. Once the dispute is resolved we will charge you interest on correctly invoiced sums from the original due date.

17. Our responsibility for loss or damage suffered by you

17.1 We are responsible to you for foreseeable loss and damage caused by us. If we fail to comply with these terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract or our failing to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract was made, both we and you knew it might happen, for example, if you discussed it with us during the sales process.

17.2 We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation; for breach of your legal rights in relation to the supply of the Covid Tests and for defective Covid Tests under the Consumer Protection Act 1987.

17.3 We are not liable for business losses. We only supply the Covid Tests under these terms and conditions for domestic and private use. If you use the Covid Tests for any commercial, business or re-sale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, loss of business opportunity, or any consequential or indirect loss.

18. How we may use your personal information

How we may use your personal information. We will only use your personal information as set out in our privacy policy.

19. Other important terms

19.1 We may transfer this Agreement to someone else. We may transfer our rights and obligations under these terms to another organisation.

19.2 You need our consent to transfer your rights to someone else (except that you can always transfer our guarantee). You may only transfer your rights or your obligations under these terms to another person if we agree to this in writing.

19.3 Nobody else has any rights under this contract (except someone you pass your guarantee on to). This contract is between you and us. No other person shall have any rights to enforce any of its terms.

19.4 If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

19.5 Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

19.6 Which laws apply to this contract and where you may bring legal proceedings. These terms are governed by English law and you can bring legal proceedings in respect of the supply of the Covid Tests in the English courts. If you live in Scotland you can bring legal proceedings in either the Scottish or the English courts. If you live in Northern Ireland you can bring legal proceedings in either the Northern Irish or the English courts.
